Definitions
“We” or “us” or “Workuity” means Cowork LLC, operating the Workuity Biltmore location at 2390 E Camelback Rd, Suite 130, Phoenix, AZ 85016.
“You” or “Member” means the individual who accepts this agreement and pays the membership fee. You are the sole member under this agreement and the only person authorized to make changes to or terminate it.
“Home Location” means the Workuity Biltmore location. You may also use the Chandler location during regular business hours, subject to availability.
“Workspace Access” means shared coworking access. It is not a dedicated private office.
“Center For AI Excellence” means Workuity’s membership program of AI education and community programming.

1. The Benefits of Membership
Subject to the terms of this agreement, we will provide the Member the services described below (the “Services”):
- Shared coworking Workspace Access at your Home Location, and use of either Workuity location during regular business hours, subject to availability. This is open coworking access, not a dedicated private office.
- Regular maintenance of the shared workspace, provided that we will not be responsible for damage exceeding normal wear and tear.
- Furnishings of the quality and quantity typically provided in shared workspaces in the facility.
- Access to and use of the Workuity member portal and business networking website, subject to acceptance of and continued compliance with the terms of service.
- Access to and use of the shared Internet connection.
- Use of the printers, copiers, and scanners. There is no included print or copy allowance; printing and copying are charged per copy at the rates in Section 2.
- Two credits per month, which may be applied to meeting room bookings or other Workuity services, subject to availability. Credits do not roll over month to month. Use in excess of the included credits is subject to overage fees. Meeting rooms are for meetings of two or more persons.
- Heat and air conditioning in the workspace during regular business hours on regular business days.
- Center For AI Excellence programming. Access to the AI Exchange workshops (offered on a regular schedule, generally twice monthly) and to the AI Executive Boardroom, provided as a benefit of membership. This is access to programming, not a guaranteed deliverable. We may modify, reschedule, substitute, or discontinue any session, topic, speaker, or format, and we do not guarantee any specific number, frequency, or content of sessions.
- C-Suite Network. A passthrough membership benefit provided through Workuity’s partnership with C-Suite Network, subject to that partner’s own terms, eligibility, and availability.
- Access to event recordings and resource materials when the Center For AI Excellence Resource Center becomes available. The Resource Center is Coming Soon and is not currently available.
- The opportunity to participate in member-only events, benefits, and promotions.
What this membership does not include. The only exclusion compared to standard coworking is business mail and package handling. This membership does not include mail or package acceptance, mail forwarding, or virtual mail services. Those are a separate service. Parking, a dedicated desk, and 24/7 building access are optional paid add-ons (see Section 2), not exclusions.
No AI software licenses. This membership provides workspace, community, and AI education programming. It does not include any third-party AI software licenses or subscriptions. No ChatGPT, Claude, Midjourney, or similar accounts are provided as part of any tier.
Regular business hours and days. Regular business hours are generally 9:00 a.m. to 5:00 p.m., except on days prior to U.S. federal holidays, when hours end at approximately 1:00 p.m. Regular business days are all weekdays except U.S. federal holidays and up to five other days of which we will inform you. A Member who adds 24/7 Building Access may enter outside these hours per that add-on’s terms.
Keep your information current. You are responsible for keeping your contact and payment information accurate and up to date, and will notify us promptly of any change.
Our reserved rights. We may modify or reduce the list of Services at any time with prior notice. We may modify, reschedule, or substitute Center For AI Excellence programming at our discretion. The Services may be provided by us, an affiliate, or a third party.
2. Membership Fees and Billing
Membership Fee. The membership fee is $200 per month, billed monthly in advance on the first business day of the month.
Proration. Your first payment is prorated. If your membership starts partway through a month, you pay only for the number of days remaining in that month.
Optional Add-Ons. The following are optional paid add-ons, selected at enrollment or later, that increase your monthly total: Biltmore garage parking at $75 per month, a dedicated desk upgrade at $50 per month, and 24/7 Building Access at $50 per month.
No deposit or upfront fee. No security deposit, set-up fee, or other upfront fee is required.
Monthly subscription. This is a monthly subscription that renews monthly.
Print, copy, and credit charges. Printing and copying are charged per copy, with no included allowance: 15 cents per black and white copy and 35 cents per color copy, as of the date of this agreement. Meeting room or service use beyond the two included monthly credits is charged at $25 per credit.
Late fees. If the monthly fee or any other outstanding fee is not paid by the fifth day of the month, a late charge of $50 applies.
Form of payment. We accept payment solely by direct ACH or by credit or debit card. You must keep your payment method current and inform us promptly of changes. A credit card decline will result in the fee shown in the Membership Details.
Changes to fees. The membership fee and overage fees are subject to increase. We reserve the right to increase the membership fee upon renewal, and will notify you at least 30 days before any such increase. There is no automatic scheduled increase.
Outstanding fees. We may withhold services or terminate this agreement if outstanding fees are due or if you do not comply with this agreement. Funds received are applied first to balances in arrears. We may send balances past due by 30 days or more to a collection agency.
3. Term and Termination
Term. This agreement is effective when you accept it (see Acceptance below) and your first payment is made. Membership is month to month and begins on the Start Date in the Membership Details.
Cancellation by you. You may cancel at any time, with no notice period required, by notice to your Home Location email address or through the member portal. Cancellation ends future billing. Fees already charged, including for the current month, are not refunded, and partial months are not prorated on cancellation.
Termination by us. We may terminate this agreement upon your breach, upon termination of our rights in the premises, or at any other time in our reasonable discretion. You remain liable for past due amounts.
Removal of property upon termination. You will remove all of your personal property by the end of the membership. After reasonable notice, we may dispose of remaining property without obligation to store it, and you will be responsible for reasonable removal costs. Following termination, we will not forward or hold mail or packages.
4. Rules
You agree that:
- Keys, key cards, and similar access items remain our property. You are liable for replacement fees if they are lost, stolen, or destroyed. Replacement key cards or parking cards cost $30 per card.
- You will promptly notify us of any change to your contact and payment information. A $25 charge applies to any credit card decline, in addition to applicable late fees.
- We will provide notice of changes to services, fees, or other updates by email to the address you provide. It is your responsibility to read those emails.
- For security reasons, we may record video in certain areas of the premises.
- We may disclose information about you as necessary to satisfy any applicable law, regulation, legal process, or government request.
- You will abide by other rules and regulations we communicate by email, which we may add to, delete, or amend at our reasonable discretion with notice.
- Shared workspaces have limited capacity. No more than the posted capacity may work in a space at any given time.
- Common spaces are for all members and guests to enjoy.
You will not:
- Perform any activity reasonably likely to be disruptive or dangerous to other members, their guests, or their property.
- Use the Services to conduct illegal activities or any activity generally regarded as offensive.
- Affix items to the walls or install antennas or telecommunication lines or devices without our prior written consent.
- Misrepresent yourself to the Workuity community, in person or online.
- Take or copy information belonging to other members or their guests.
- Use the name “Workuity,” or pictures of the premises, in any advertising or publicity without our prior written consent.
- Use the workspace in a retail, medical, or similar nature involving frequent visits by members of the public.
- Copy, lend, share, or transfer any keys or key cards to any third party.
- Allow guests to enter without registering them according to our policies. Guests are not permitted in the Workuity Lab or Cubicle areas.
5. Additional Agreements
Technology Release. We and our affiliates are not responsible for any damage to your computer system related to technical support or software installation, do not assume liability if manufacturer warranties are voided, and offer no warranty regarding the success of any technical support.
Waiver of Claims. To the extent permitted by law, you, on behalf of yourself and your guests and invitees, waive any and all claims and rights against us and our affiliates, and our and their members, assignees, officers, and directors, resulting from injury or damage to, or destruction, theft, or loss of property or person. You acknowledge that we may create media, including video and photography, in our common areas, workspaces, and at events, in which you may appear, and we may use this media in our promotional materials without further waiver.
Limitation of Liability. The aggregate monetary liability of us or our affiliates to you or your guests, for any reason and for all causes of action, will not exceed the total fees paid by you under this agreement. We will not be liable for any indirect, special, incidental, consequential, or punitive damages, including loss of profits or business interruption. You may not commence any action against us unless it is commenced within one year of the cause of action’s accrual.
Indemnification. You will indemnify us and our affiliates against any claims, liabilities, and expenses, including reasonable attorneys’ fees, resulting from any breach of this agreement by you or your guests, or from your or their actions or omissions.
Insurance. You may maintain, at your own expense, personal property and commercial general liability insurance appropriate to your needs. We and our landlord may be named as additional insureds on any such policies.
Other Members. We do not control and are not responsible for the actions of other members. If a dispute arises between members or their guests, we have no obligation to participate, mediate, or indemnify any party.
Class Action Waiver. Any proceeding to resolve a dispute will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any representative capacity.
6. Miscellaneous
Nature of the Agreement. Our relationship is not that of landlord and tenant or lessor and lessee. This agreement grants no title, easement, lien, possession, tenancy interest, leasehold estate, or other real property interest, and creates no fiduciary, agency, partnership, or joint venture relationship.
Updates to the Agreement. We may update this agreement from time to time and will provide notice. You will be deemed to have accepted the updated terms one full calendar month after the date of notice. Continued use beyond that time constitutes acceptance.
Governing Law. This agreement is governed by the laws of the State of Arizona. Any action will be litigated in courts located in Phoenix, Arizona, to the extent permitted by law. You irrevocably waive any right to a jury trial.
Extraordinary Events. Neither party is liable for any delay or failure to perform (other than your obligation to pay amounts due) caused by conditions beyond its reasonable control, provided the affected party uses best efforts to resume normal performance.
Separable Provisions, Survival, Notices, Attorneys’ Fees, Headings, Assignment. Each provision is separable. Provisions reasonably expected to survive termination will do so. Notices are given by email and are effective the first business day after being sent. If any action is brought in connection with this agreement, the prevailing party is entitled to recover reasonable attorneys’ fees and costs. Headings are for convenience only. You may not assign your rights or obligations without our prior consent. We may assign or transfer this agreement, and the servicing of your membership, to an affiliated entity, including Cowork Chandler LLC, in our discretion with notice to you.

Acceptance
By checking the acceptance box and proceeding to payment during enrollment at workuity.com, you agree to this Center For AI Excellence Member-Coworking Plus Membership Agreement and the Workuity Privacy Policy. You understand that your membership renews monthly and that you may cancel anytime. The acceptance box is the binding acceptance of this agreement, and the date and version are recorded at the time of acceptance.
